1.1"Agreement" or "Terms" means these Website Terms & Conditions, together with any policies, guidelines, or notices expressly incorporated by reference, each as amended from time to time.

1.2"Applicable Law" means all laws, statutes, rules, regulations, notifications, and binding directions of any competent authority applicable to the Company, the Website, or a User, including without limitation the Indian Contract Act, 1872, the Information Technology Act, 2000 and rules made thereunder, and the Consumer Protection Act, 2019.

1.4"Content" means all information, data, text, imagery, listings, curated selections, scores, ratings, editorial commentary, software, and other material made available on or through the Website, whether generated by the Company, its licensors, Users, or third parties.

1.5"Curated Content" means destination selections, category listings, evaluation scores, rankings, "Wow Factor" and similar metrics, and editorial recommendations surfaced by the Company through its editorial curation process (see the Responsible AI Policy for the current, accurate description of any automated or AI-related components, which controls over any AI-related language elsewhere in these Terms), which constitute the Company's subjective opinion and not a statement of fact or professional advice.

1.6"Services" means the features and functionality made available through the Website as described in Clause 6, together with any services, features, content, tools, or functionality that the Company may introduce, modify, expand, rebrand, or discontinue from time to time.

1.7"Third-Party Services" means any product, service, listing, venue, destination, accommodation, experience, content, or offering provided, owned, or operated by a person other than the Company, whether or not surfaced, referenced, or linked through the Website.

1.9"Website" means the website hosted at onyatrips.com and any associated web pages, subdomains, and successor domains operated by the Company, excluding any separately governed application, portal, or product.

1.10Headings are for convenience only and do not affect interpretation. The words "including", "includes", and "in particular" are illustrative and do not limit the generality of preceding words. Any reference to the Website, Services, or Content includes such items as they exist now and as they may be expanded, upgraded, or modified in future.

2. Acceptance of Terms

2.1By accessing, browsing, or otherwise using the Website in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all documents incorporated by reference, whether or not you have registered an account.

2.2If you use the Website on behalf of any organisation, entity, or other person, you represent and warrant that you are duly authorised to bind that organisation, entity, or person to these Terms, and references to "you" include that organisation, entity, or person.

2.3Your continued access to or use of the Website constitutes ongoing acceptance of these Terms as then in effect. If you do not agree to any part of these Terms, your sole and exclusive remedy is to discontinue all use of the Website.

3. Changes to Terms

3.1The Company reserves the right, in its sole discretion, to amend, modify, supplement, or replace these Terms at any time, including to reflect changes in Applicable Law, the introduction or expansion of Services, or changes to the Company's business, operations, or structure.

3.2Amended Terms take effect upon being posted on the Website or upon such later date as the Company may specify. Where reasonably practicable and required by Applicable Law, the Company will indicate the revised effective date or provide notice of material changes by reasonable electronic means.

3.3It is your responsibility to review these Terms periodically. Your continued access to or use of the Website after amended Terms take effect constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you must cease using the Website.

4.3The Company may, at its sole discretion and without notice, refuse access to, suspend, or terminate the access of any User who does not, or whom the Company reasonably suspects does not, satisfy the eligibility requirements or who is in breach of these Terms.

4.4Where you access the Website from a jurisdiction outside India, you do so on your own initiative and are responsible for compliance with all laws applicable to you in that jurisdiction.

5. Website Usage

5.1Subject to your continuing compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Website and Content solely for your own lawful, personal, and non-commercial travel-discovery purposes. All rights not expressly granted are reserved by the Company.

5.2You must not, and must not permit or enable any third party to:

  • (a)use the Website for any unlawful, fraudulent, infringing, or unauthorised purpose, or in breach of any Applicable Law;
  • (b)copy, reproduce, scrape, crawl, harvest, index, cache, mirror, republish, distribute, sell, licence, or otherwise commercially exploit the Website or any Content, including any Curated Content, in whole or in part, except as expressly permitted in writing by the Company;

  • (e)introduce any virus, malware, or other harmful code, or take any action that imposes an unreasonable or disproportionate load on the Website's infrastructure, or that interferes with the proper working of the Website or Services;
  • (f)impersonate any person, misrepresent your affiliation, upload false or misleading information, or use the Website to harass, defraud, or harm any other person; or
  • (g)remove, obscure, or alter any proprietary notice, branding, or attribution displayed on the Website or Content.

5.3The Company may monitor use of the Website and may investigate and take any action it considers appropriate, including restricting, suspending, or terminating access, removing Content, and reporting suspected unlawful activity to competent authorities, without liability to you.

Without limitation, any future functionality — including booking, payments, transactions, integrated bookings, brand partnerships, premium listings, or additional products — shall, upon being made available on the Website, be deemed part of the Services and governed by these Terms, together with any additional or supplemental terms the Company may specify for such functionality.

6.3The Website, the Services, and all Content are provided on an "as is" and "as available" basis. The Company does not warrant that the Website will be uninterrupted, timely, secure, error-free, or that any Content, Curated Content, score, listing, or recommendation is accurate, complete, current, or suitable for any particular purpose.

6.4Where the Website surfaces, references, links to, or otherwise facilitates access to Third-Party Services, the Company acts solely as a facilitator of discovery and information. The Company is not a party to, and assumes no responsibility or liability for, any transaction, arrangement, interaction, or dispute between you and any provider of Third-Party Services or any other User

7. Nature of Onyatrips

7.1Onyatrips is a curated exploration, information, and discovery platform. It operates as an intermediary within the meaning of the Information Technology Act, 2000. Such content is provided for general informational purposes only, does not constitute professional, travel, safety, financial, medical, or legal advice, and must not be relied upon as a statement of fact or a guarantee of any outcome, quality, condition, availability, or experience.

7.3Unless and until the Company expressly states otherwise in writing for a specific Service, the Company is not a travel agent, tour operator, booking agent, carrier, hotelier, or provider of any travel or hospitality service, and does not act as such. 7.4The Company does not verify, endorse, or guarantee the identity, character, conduct, suitability, or safety of any User, travel companion, group, community, or other person discoverable through the Website. 9.1The Company is not the agent, representative, or intermediary of any User, travel companion, community, or provider of Third-Party Services for the purpose of forming, negotiating, or performing any contract, and no such person is the agent or representative of the Company.

9.2You have no authority to, and shall not, act for, bind, incur any obligation on behalf of, make any representation or warranty on behalf of, or otherwise create any liability against the Company, whether express or implied.

10. No Partnership Relationship

10.1Nothing in these Terms, and nothing in your use of the Website or in any interaction facilitated through it, shall be construed as creating a partnership, joint venture, association of persons, consortium, or any form of joint enterprise between you and the Company, whether under the Indian Partnership Act, 1932 or otherwise.

10.2The relationship between you and the Company is that of independent parties dealing at arm's length. Neither party shares in the profits, losses, or liabilities of the other by reason of these Terms.

11. No Fiduciary Duties

11.1The Company owes no fiduciary duty, duty of trust or confidence, or duty of care to you beyond those, if any, that are expressly and non-excludably imposed by Applicable Law. The provision of Curated Content, recommendations, matches, or other Content does not create, and shall not be construed as creating, any relationship of trust, confidence, or fiduciary obligation.

11.2You acknowledge that you place no reliance on any relationship of trust or confidence with the Company, and that your reliance on any Content is a matter for your own independent judgment.

12. Force Majeure

12.1The Company shall not be liable for any failure or delay in performing, or for any inability to perform, any of its obligations or in making the Website or Services available, where such failure, delay, or inability arises from any cause beyond its reasonable control, including without limitation acts of God, natural disasters, epidemics or pandemics, fire, flood, earthquake, war, terrorism, civil unrest, strikes or labour disputes, governmental action, changes in Applicable Law, failure or interruption of internet, telecommunications, hosting, cloud, or power infrastructure, cyberattacks, or third-party service failures (each a "Force Majeure Event").

13. Governing Law

13.1These Terms, and any dispute, claim, or matter (whether contractual or non-contractual) arising out of or in connection with them, their subject matter, or their formation, shall be governed by and construed in accordance with the laws of India, without regard to any conflict-of-laws principles that would result in the application of the laws of any other jurisdiction.

15. Arbitration

15.1Save as provided in Clause 15.5, any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, breach, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended.

15.4To the fullest extent permitted by Applicable Law, disputes shall be resolved on an individual basis only, and not as a class, consolidated, or representative proceeding.

15.5Notwithstanding this Clause, either party may seek interim or urgent injunctive relief from a court of competent jurisdiction, and the Company may bring proceedings to protect its intellectual property or to restrain any breach of Clause 5, without such action constituting a waiver of this arbitration agreement. This Clause does not affect any non-excludable statutory remedy available to a consumer under Applicable Law.

16. Assignment

16.1The Company may freely assign, transfer, novate, sub-contract, or otherwise deal with any or all of its rights and obligations under these Terms, in whole or in part, to any person, including in connection with any merger, acquisition, restructuring, reorganisation, sale of assets or business, financing, or corporate transaction, without your consent and without notice.

16.2You may not assign, transfer, or otherwise deal with any of your rights or obligations under these Terms without the prior written consent of the Company. Any purported assignment in breach of this Clause is void.

17. Waiver

17.1No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver of it, nor shall any single or partial exercise preclude any further exercise of that or any other right, power, or remedy.

17.2No waiver by the Company shall be effective unless made in writing and signed by an authorised representative of the Company, and any such waiver shall apply only to the specific instance and purpose for which it is given.

Place Discovery & Recommendations Terms

Governing curated discovery, scoring, rankings, and recommendation content on the Onyatrips website

1. Definitions

In this Module, in addition to terms defined in the Website Terms & Conditions:

1.1"Place" or "Destination" means any destination, venue, business, establishment, attraction, restaurant, café, resort, accommodation, trail, viewpoint, experience, community, event, or point of interest surfaced, referenced, listed, scored, ranked, or recommended on or through the Website.

1.2"Recommendation Content" means all discovery outputs relating to a Place, including listings, curated selections, category placements, editorial commentary, scores, ratings, rankings, evaluation-framework outputs, "Wow Factor" and similar metrics, badges, tags, and any statement of recommendation, whether generated by artificial intelligence, human editorial judgment, or a combination of both.

1.3"Evaluation Framework" means the Company's proprietary methodology for evaluating Places across multiple dimensions, including any weighting, scoring, ranking, or curation logic, whether automated, editorial, or hybrid, as it exists now or as modified from time to time.

1.4"External Data" means information relating to a Place that is sourced from any person other than the Company, including business-supplied information, publicly available data, licensed data feeds, mapping and location data, reviews, photographs, opening hours, prices, menus, User Submissions, and Community Reports.

1.5"User Submission" means any content, information, report, rating, review, photograph, correction, or feedback submitted by a User in relation to a Place.

1.6"Community Report" means any report, flag, or notification submitted by a User or community regarding the accuracy, condition, status, safety, or legitimacy of a Place.

2. Nature of Recommendation Content: AI, Editorial, and Hybrid

2.1Onyatrips operates a travel critic model. All Recommendation Content represents the Company's subjective editorial opinion about a Place at a point in time. It does not constitute a statement of objective fact, a certification, a warranty, or professional, safety, travel, medical, financial, or legal advice.

2.2Recommendation Content may be produced by algorithmic judgment (automated analysis, machine learning, and data processing), by human judgment (editorial review and curation), or by a hybrid scoring process combining both. You acknowledge that automated systems may produce errors, omissions, biases, or outputs that do not reflect current reality, and that human editorial judgment is inherently subjective and may differ from your own or from that of others.

2.3The Evaluation Framework, including all dimensions, weightings, scoring logic, ranking methodology, and curation criteria, is the Company's proprietary intellectual property. The Company does not represent that the Evaluation Framework is exhaustive, objective, scientifically validated, or free from error, and reserves the right to change it at any time in its sole discretion.

2.4Scores, ratings, and rankings are relative editorial signals, not absolute measurements. They are intended to assist discovery and must not be relied upon as a guarantee of any quality, condition, standard, outcome, or experience.

3. Subjective Opinion and Editorial Discretion

3.1All Recommendation Content is an expression of subjective opinion, protected as such, and is provided for general informational and inspirational purposes only. Reasonable persons may disagree with any recommendation, score, or ranking.

3.2The designation of a Place as "best", "top", "exceptional", "curated", "recommended", or by any similar term reflects the Company's editorial view relative to its own criteria. "Best" does not mean perfect, safe, error-free, currently operating, or suitable for you. Such designations carry no guarantee of quality, safety, legality, availability, or satisfaction.

3.3The Company exercises full editorial discretion over what Recommendation Content is created, displayed, ordered, retained, or removed, and over the criteria applied. Editorial discretion is absolute and is not subject to review at the instance of any User, business, or third party.

4. Listing Inclusion, Removal, and Change

4.1The Company may, in its sole and absolute discretion, include, decline to include, feature, de-feature, reposition, suspend, or remove any Place or listing at any time, with or without notice and with or without reason. No Place, business, or person has any right to be listed, to remain listed, to any particular score or ranking, or to any minimum visibility.

4.2Scores may change and rankings may change at any time, including as a result of updated data, re-evaluation, changes to the Evaluation Framework, Community Reports, or editorial reconsideration. A Place shown today may be scored differently, ranked differently, or removed entirely tomorrow.

4.3Inclusion of a Place does not constitute endorsement, sponsorship, verification, certification, or a recommendation that you visit, transact with, or rely on that Place. Exclusion or removal of a Place does not constitute a statement about that Place's quality, legitimacy, or safety.

4.4The Company is under no obligation to explain, justify, or disclose the basis for any inclusion, exclusion, score, ranking, or removal decision.

5. No Guarantee of Quality, Safety, or Accuracy

5.1To the fullest extent permitted by Applicable Law, all Recommendation Content and all information about any Place is provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied, or statutory.

5.2Without limiting the foregoing, the Company does not guarantee, represent, or warrant that any Place:

  • (a)is of any particular quality, standard, or condition, or will meet your expectations;
  • (b)is safe, secure, hygienic, or free from hazard, risk, or danger to person or property;
  • (c)is described accurately, completely, or currently, or that any score, ranking, photograph, price, menu, opening hour, location, or other detail is correct or up to date;
  • (d)is open, operating, available, lawfully operated, or that it will remain so; or
  • (e)is suitable, appropriate, or fit for your particular purpose, circumstances, health, or needs.

5.3Any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement are excluded to the maximum extent permitted by Applicable Law. Where Applicable Law does not permit such exclusion, the Company's obligations are limited to the minimum non-excludable standard required by that law.

6. External Data and Third-Party Information

6.1Much of the information displayed about Places is External Data derived from third-party and business sources. The Company does not create, control, independently verify, or guarantee such information and is not responsible for its accuracy, completeness, currency, or legality.

6.2Without limitation, the Company makes no representation or warranty regarding, and accepts no liability for, the accuracy or reliability of:

  • (a)business information and descriptions supplied by, or on behalf of, any Place;
  • (b)photographs and imagery, which may be stylised, dated, licensed from third parties, or unrepresentative of current conditions;
  • (c)maps, geolocation, directions, and location data, which may be inaccurate, incomplete, or out of date;
  • (d)opening hours, which may change without notice;
  • (e)prices and pricing information, which are indicative only and may be incorrect, outdated, or subject to change, taxes, and charges;
  • (f)menus and product or service listings, which may be inaccurate, unavailable, or discontinued; and
  • (g)reviews and ratings from any source, which may be incorrect, incomplete, biased, manipulated, outdated, or fraudulent.

6.3Reliance on any External Data is at your own risk. You must independently verify any information that matters to you — in particular prices, availability, opening hours, safety, and legal status — directly with the relevant Place or an authoritative source before acting on it.

6.4Where the Website links to or integrates any third-party source, service, or feed, such linking or integration does not imply endorsement, and the Company is not responsible for the content, availability, or practices of those third parties.

7. User Submissions and Community Reports

7.1The Website may display or take into account User Submissions and Community Reports. Such content reflects the views and assertions of the submitting persons, not the Company, and the Company does not adopt, endorse, verify, or guarantee it.

7.2The Company may, but is not obliged to, review, moderate, act upon, retain, or remove any User Submission or Community Report, in its sole discretion. Absence of moderation or removal is not an endorsement, and moderation or removal is not an admission of any fact.

7.3You are solely responsible for any User Submission you provide, including its accuracy and legality, and you grant the Company a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to use, reproduce, adapt, display, and distribute it in connection with the Website and Services. The Company accepts no liability to you or any third party arising from the display, use, non-use, retention, or removal of any User Submission or Community Report.

8. Businesses May Disagree

8.1A Place, business, or its representatives may disagree with any score, ranking, categorisation, editorial commentary, inclusion, or removal decision. All Recommendation Content is the Company's protected opinion, and such disagreement does not entitle any person to alteration, removal, correction, compensation, or any other remedy.

8.2The Company may, at its discretion, consider a good-faith request to correct a material factual error, but is under no obligation to do so and retains sole editorial control over all Recommendation Content.

8.3Nothing on the Website is intended to defame, disparage, or cause harm to any business. Recommendation Content constitutes fair comment and honest opinion on matters of public interest to travellers.

9. Travel Risks, Safety, and Hidden Dangers

9.1Travel involves inherent risks. The Company is a discovery and information platform, does not operate, inspect, supervise, or control any Place, and cannot detect, monitor, or warn of risks associated with any Place or destination. You acknowledge and assume all risks of travel undertaken by you.

9.2Without limitation, the Company is not responsible or liable for, and gives no warning, assurance, or guarantee regarding:

  • (a)destination closures, temporary or permanent, and changes to a Place's operating status;
  • (b)fraudulent businesses, scams, misrepresentation, or deceptive practices by any Place or operator;
  • (c)illegal operators or Places operating without required licences, permits, or authorisations;
  • (d)hidden risks or latent hazards not apparent from any listing or Recommendation Content;
  • (e)weather, natural conditions, environmental events, or natural disasters;
  • (f)political issues, unrest, conflict, travel advisories, border conditions, or government action;
  • (g)health risks, disease, epidemics or pandemics, food safety, sanitation, or medical conditions;
  • (h)crime, theft, violence, harassment, or other criminal or harmful conduct by any person; and
  • (i)local laws, customs, restrictions, and regulations, compliance with which is your sole responsibility.

9.3You are responsible for consulting official government travel advisories, health authorities, and other authoritative sources, and for obtaining appropriate travel insurance, before undertaking any travel.

10. User Verification Responsibility

10.1You are solely responsible for conducting your own due diligence and independently verifying any Place, information, price, availability, legal status, safety condition, or other matter before relying on it, visiting, transacting, or committing any resources.

10.2The Company does not perform, and does not represent that it performs, background checks, licence verification, safety inspections, or legality assessments of any Place or operator. Any impression of curation or vetting does not relieve you of your verification responsibility.

10.3Your decision to visit, use, purchase from, or otherwise engage with any Place is made in your own independent judgment and at your own risk.

11. No Liability for Reliance on Recommendations

11.1To the fullest extent permitted by Applicable Law, the Company shall not be liable for any loss, damage, injury, cost, or expense of any kind — whether direct, indirect, incidental, special, consequential, punitive, or exemplary — arising out of or in connection with your access to, reliance on, or use of any Recommendation Content, Place information, External Data, User Submission, or Community Report, including any decision to visit or not visit, or to transact or not transact with, any Place.

11.2This includes, without limitation, any loss or harm arising from destination closures, fraudulent or illegal operators, hidden risks, weather, political events, health risks, crime, breach of local laws, or the inaccuracy, incompleteness, or unavailability of any information.

11.3You agree that your sole and exclusive remedy for dissatisfaction with any Recommendation Content or the Website is to cease using it. You release the Company from all claims arising out of your reliance on Recommendation Content, to the extent permitted by Applicable Law.

11.4Nothing in this Module excludes or limits any liability that cannot lawfully be excluded or limited under Applicable Law, including liability for fraud, for death or personal injury caused by the Company's own gross negligence, or any non-excludable statutory rights of a consumer. Where liability cannot be excluded, it is limited to the minimum extent permitted by Applicable Law.

2.2Onyatrips is not a party to, does not participate in, does not supervise, and assumes no responsibility for any Connection, conversation, relationship, group, trip, arrangement, or Offline Interaction between Users. Any relationship formed between Users is solely between those Users.

2.3Onyatrips is not a travel agent, tour operator, chaperone, escort, guardian, security provider, background-check provider, or dating service, and does not act in any such capacity. It does not introduce Users for the purpose of any romantic, sexual, financial, or commercial arrangement, and does not endorse or recommend any Other User.

2.4Any suggestion, match, or compatibility score is an automated or editorial signal to assist discovery only, and is not a recommendation, endorsement, vouching, or assurance that any Other User is genuine, honest, compatible, suitable, or safe.

3. Profiles and User-Provided Information

3.1All Profile information is created and controlled by the User who provides it. Onyatrips does not create, verify, authenticate, or guarantee the truth, accuracy, or completeness of any Profile, photograph, representation, or statement made by any User.

3.2You acknowledge that any Profile may be inaccurate, incomplete, outdated, misleading, or deliberately false, and that a person may not be who they claim to be. Onyatrips makes no representation that any User's stated identity, age, gender, profession, institution, background, intentions, or character are true.

3.3You are solely responsible for the content of your own Profile, for keeping it accurate and lawful, and for the information you choose to disclose to Other Users. You should not share sensitive personal, financial, or location information with Other Users.

4. Matching, Compatibility Scores, and Moderation

4.1Compatibility scores and suggested companions are generated by automated systems (today, deterministic rule-based filtering against explicit fields you and other Users set — not a machine-learning or predictive-AI system; see the Responsible AI Policy for the current, accurate description, which controls over any AI-related language elsewhere in these Terms) and/or editorial processes, based on limited, User-supplied, and unverified information. They do not measure or predict a person's honesty, character, safety, or actual compatibility.

4.2A high compatibility score, a suggestion, or a match is not an assurance of a good, safe, or successful interaction. A low score or the absence of a suggestion is not a statement about any person. Scores and suggestions may be inaccurate and may change at any time.

4.3Onyatrips may, but is not obliged to, provide human moderation, automated moderation, or trust-and-safety measures. Any moderation is provided on a reasonable-efforts, discretionary basis, is not comprehensive or guaranteed, and does not create any duty to detect, prevent, or remove harmful users or conduct. The existence of moderation must not be relied upon as a guarantee of safety, and its absence in any instance is not a breach.

4.4Onyatrips may suspend, restrict, remove, or ban any User or Profile, refuse or withdraw any suggestion, and act on reports, in its sole discretion, without liability. Taking or not taking such action is not an admission of any fact and does not create any obligation to take similar action in any other case.

5. Messaging, Friend Requests, and Connections

5.1Messaging, friend requests, and other connection features are conduits for communication between Users. Onyatrips does not author, monitor in real time, verify, or take responsibility for the content of communications between Users, save as it may choose to in its discretion or as required by Applicable Law.

5.2You are solely responsible for your communications and interactions with Other Users, for deciding whether and how to respond, connect, or continue, and for the consequences of doing so. You may decline, block, or report any Other User at any time and should do so if any interaction is unwelcome, suspicious, or unsafe.

6. Group Travel, Community Trips, Events, and Meetups

6.1Where the Website enables group formation, community trips, events, or meetups, Onyatrips acts only as a facilitator of discovery and coordination. It does not organise, host, operate, lead, supervise, insure, or take responsibility for any group, trip, community, event, or meetup, whether or not branded, listed, or promoted on the Website.

6.2Groups, communities, and their organisers are independent of Onyatrips and are not its agents, employees, partners, or representatives. Any trip, event, or meetup is arranged, conducted, and undertaken solely among the participating Users at their own risk. Onyatrips is not responsible for the conduct, safety, competence, legality, or solvency of any organiser or participant.

6.3You are responsible for evaluating any group, trip, event, or meetup before participating, including its organiser, participants, itinerary, and safety, and for your own conduct and wellbeing throughout.

7. Solo Travellers

7.1If you use the Companion Services as a solo traveller, you acknowledge the heightened risks of connecting with and meeting strangers alone. Onyatrips provides no companionship, supervision, escort, or protection, and the safety precautions in this Module apply with particular force.

8. Assumption of Risk

8. 1** You understand that interacting with, connecting with, and meeting Other Users carries inherent and serious risks, and that Onyatrips cannot eliminate, control, or protect you from those risks. **You knowingly and voluntarily assume all such risks.

8.2Without limitation, you assume all risk of, and Onyatrips is not responsible or liable for, harm arising from:

  • (a)identity risks, fake profiles, catfishing, and misrepresentation of any kind;
  • (b)harassment, stalking, intimidation, or abusive conduct;
  • (c)assault, violence, sexual misconduct, or other physical harm by any Other User or third party;
  • (d)theft, fraud, financial scams, romance scams, extortion, and blackmail;
  • (e)criminal activity of any kind committed by, facilitated by, or involving any Other User; and
  • (f)any other unlawful, harmful, dishonest, or dangerous conduct of any Other User or third party.

8.3You acknowledge that Onyatrips has no ability to predict or control the conduct of Other Users, that the unverified nature of Profiles means any person may pose a risk, and that you accept these risks as a condition of using the Companion Services.

9. Offline Meetings and Shared Travel

9.1Any decision to meet an Other User offline, to travel together, to share a hotel or accommodation, or to share a vehicle or transport, is made entirely at your own discretion and risk. Onyatrips does not arrange, supervise, or take any responsibility for Offline Interactions.

9.2Sharing accommodation or transport with a person you have met through the Website carries significant risk to your personal safety and property. You are solely responsible for assessing that risk, taking precautions, and deciding whether to proceed. Onyatrips strongly recommends meeting first in public, informing a trusted contact of your plans, and retaining independent means of communication and transport.

9.3Onyatrips is not responsible for any accommodation, transport, booking, or arrangement made between Users, whether or not facilitated through the Website, and is not liable for any act, omission, default, or harm arising from any such arrangement.

10. Cost Splitting and Financial Arrangements

10.1Where the Website offers cost-splitting or expense-coordination tools, such tools are provided for convenience only. Onyatrips is not a bank, payment institution, escrow agent, or financial intermediary, does not hold, guarantee, or take responsibility for any funds or payment between Users, and does not guarantee that any User will pay, repay, or honour any financial arrangement.

10.2Any money exchanged, shared, lent, or owed between Users is a private matter between them, undertaken at their own risk. Onyatrips is not liable for any non-payment, dispute, loss, scam, or fraud arising from any financial arrangement between Users. You should never transfer money to, or share financial credentials with, an Other User.

11. Physical Injury, Death, Medical Emergencies, and Criminal Activity

11.1To the fullest extent permitted by Applicable Law, Onyatrips is not responsible or liable for any physical injury, illness, disability, death, medical emergency, psychological harm, loss, or damage suffered by any User or third party arising out of or in connection with any Connection, Offline Interaction, shared travel, group trip, event, meetup, or the conduct of any Other User or third party.

11.2You are responsible for your own health, safety, insurance, and emergency preparedness. Onyatrips does not provide medical, security, rescue, or emergency services and cannot be relied upon in any emergency.

11.3Onyatrips does not screen Users for criminal history and does not represent that any User is free of criminal record or intent. Onyatrips is not liable for any criminal activity committed by any User or third party. Where required or permitted by Applicable Law, Onyatrips may cooperate with law-enforcement authorities and disclose information in response to valid legal process.

12. User Safety and Verification Responsibility

12.1You are solely responsible for your own safety and for independently verifying the identity, background, intentions, and trustworthiness of any Other User before connecting, sharing information, meeting, travelling, or entering into any arrangement.

12.2Any identity, verification, badge, trust signal, or safety feature that Onyatrips may offer is provided on a best-efforts basis, may be incomplete or defeated, and must not be treated as confirmation that a User is genuine or safe. Reliance on any such feature does not reduce your own responsibility to verify and to exercise caution.

12.3You agree to comply with all Applicable Law and community guidelines in your use of the Companion Services, and not to use them to deceive, harm, harass, defraud, or endanger any person.

13. No Guarantee of Compatibility, Honesty, or Safety

13.1Onyatrips expressly and unconditionally makes no guarantee, representation, or warranty that any Other User is genuine, honest, law-abiding, of good character, who they claim to be, compatible with you, or safe to communicate with, meet, travel with, or share accommodation, transport, or finances with.

13.2The Companion Services are provided on an "as is" and "as available" basis. All implied warranties and conditions relating to the Companion Services, to any Other User, or to any Connection or Offline Interaction, are excluded to the maximum extent permitted by Applicable Law.

14. Reporting and Cooperation

14.1You should promptly report to Onyatrips any User, Profile, or conduct that is suspicious, abusive, fraudulent, or unlawful, and should report any crime to the police and relevant authorities. Reporting to Onyatrips is not a substitute for contacting emergency services or law enforcement.

14.2Onyatrips may investigate reports and take such action as it considers appropriate in its discretion, but does not guarantee any particular response, outcome, or timeframe, and is not liable for any action or inaction in respect of a report, save to the extent liability cannot be excluded under Applicable Law.

15. Release, Waiver, and Indemnity

15.1To the fullest extent permitted by Applicable Law, you irrevocably release, waive, and discharge Onyatrips, its directors, officers, employees, and agents from any and all claims, demands, liabilities, losses, damages, costs, and expenses of every kind, whether known or unknown, arising out of or in connection with any Connection, communication, Other User, Offline Interaction, shared travel, group, event, meetup, or financial arrangement.

15.2You agree to indemnify and hold harmless Onyatrips and the persons referred to in Clause 15.1 from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with your use of the Companion Services, your conduct towards any Other User, your breach of these Terms, or your violation of any Applicable Law or the rights of any person.

16. Limits of Exclusion

16.1Nothing in this Module excludes or limits any liability that cannot lawfully be excluded or limited under Applicable Law, including liability for fraud, for death or personal injury caused by the Company's own gross negligence, or any non-excludable statutory rights of a consumer. Where any liability cannot be excluded, it is limited to the minimum extent permitted by Applicable Law, and the remaining provisions of this Module continue in full force.

17. Incorporation and Survival

17.1This Module is incorporated into and forms part of the Onyatrips Website Terms & Conditions. In the event of a conflict between this Module and the general provisions of those Terms in respect of the Companion Services, this Module prevails.

17.2The assumption of risk, release, waiver, indemnity, and disclaimer provisions of this Module survive termination of your access to the Website and the Companion Services.

User-Generated Content Terms

Governing content you create, upload, submit, or share on the Onyatrips website

1. Definitions and Scope

1.1"User Content" means any content, material, or information that a User creates, uploads, submits, posts, transmits, stores, or shares on or through the Website, in any format, including: photos, videos, reviews, comments, messages, travel itineraries, lists, ratings, recommendations, profiles, community-group content, trip invitations, uploaded documents, usernames, bios, and avatars.

1.2This Module applies to all User Content regardless of where on the Website it appears, and is in addition to any content-specific rules Onyatrips may publish. Terms defined in the Website Terms & Conditions apply here.

2. Ownership of User Content

2.1As between you and Onyatrips, you retain all ownership rights you hold in your User Content. Nothing in these Terms transfers ownership of your User Content to Onyatrips, except that Onyatrips owns all rights in the Website, its compilations, aggregated and derivative data, scores, rankings, and any content it creates.

2.2You are responsible for retaining your own copies of your User Content. Onyatrips is not a backup or storage service and does not guarantee the retention, availability, or recoverability of any User Content.

3. Licence Grant to Onyatrips

3.1By submitting User Content, you grant Onyatrips a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sub-licensable licence to host, store, cache, reproduce, adapt, modify, translate, format, excerpt, publish, publicly display and perform, distribute, and otherwise use your User Content, in whole or in part, in any media now known or later developed, for the purposes of operating, providing, developing, improving, and promoting the Website, the Services, and Onyatrips' business.

3.2This licence includes the right to use your User Content to create aggregated, derivative, statistical, and anonymised outputs (including for training, improving, and operating recommendation, curation, and matching systems), and to use it in marketing and promotional materials, subject to Applicable Law.

3.3The licence in Clause 3.1 continues for so long as your User Content remains on the Website. Following removal or deletion, the licence terminates for new uses, save that Onyatrips may retain and continue to use (a) residual copies in backups, caches, and logs for a reasonable period, (b) content already incorporated into aggregated, derivative, or anonymised outputs, and (c) content it is required to retain by Applicable Law or for the establishment, exercise, or defence of legal claims.

3.4To the extent permitted by Applicable Law, you waive, and agree not to assert against Onyatrips or its sub-licensees, any moral rights or similar rights in your User Content in connection with the uses licensed above. Where such rights cannot be waived, you consent to such uses.

3.5You are not entitled to any payment, credit, or compensation for any use of your User Content permitted under this Module.

4. Your Representations and Warranties

4.1You represent, warrant, and undertake, in respect of all User Content you submit, that:

  • (a)you own or have all necessary rights, licences, consents, and permissions to submit it and to grant the licence in Clause 3;
  • (b)it does not and will not infringe or misappropriate any copyright, trademark, patent, trade secret, publicity, privacy, or other right of any person;
  • (c)you have obtained the consent of every identifiable person appearing in, and every owner of property depicted in, any photo or video, as required by Applicable Law;
  • (d)it is accurate and not misleading, and is not defamatory, false, or deceptive; and
  • (e)it complies with these Terms and all Applicable Law.

4.2You are solely responsible for your User Content and for any consequence of submitting it. Onyatrips does not endorse, adopt, verify, or guarantee any User Content, and any views expressed in User Content are those of the User, not Onyatrips.

5. Copyright, Trademark, and Notice-and-Takedown

5.1Onyatrips respects intellectual-property rights and expects Users to do the same. Onyatrips operates a notice-and-takedown process and will act on valid complaints of copyright or trademark infringement in accordance with Applicable Law, including the Copyright Act, 1957, the Information Technology Act, 2000 and rules thereunder, and, where applicable to content hosted or accessed in the United States, the notice-and-takedown provisions of the U.S. Digital Millennium Copyright Act (DMCA).

5.2A complaint of infringement should be sent to the Grievance Officer / designated agent at [legal@onyatrips.com] and should include: (a) identification of the work or mark said to be infringed; (b) identification and location (URL) of the allegedly infringing User Content; (c) your contact details; (d) a statement of good-faith belief that the use is unauthorised; (e) a statement that the information is accurate and that you are the rights-holder or authorised to act; and (f) your physical or electronic signature.

5.3On receipt of a valid complaint, Onyatrips may remove or disable access to the relevant User Content, notify the affected User, and, in appropriate cases, terminate the account of a repeat infringer. Onyatrips may reinstate content following a valid counter-notice where permitted by Applicable Law.

5.4Onyatrips acts as an intermediary and relies on the safe-harbour protections available to it under Applicable Law. Its removal of, or failure to remove, any User Content is without admission of liability and does not waive any right or defence.

6. Prohibited Content

You must not create, upload, submit, post, or share any User Content that, and must not use the Website to:

6.1is defamatory, libellous, slanderous, or that harms the reputation of any person;

7. AI-Generated and Synthetic Content

7.1If you submit User Content that is generated, created, or materially altered using artificial intelligence or other synthetic means, you remain fully responsible for it and it must comply with this Module in the same way as any other User Content. You warrant that you hold all rights necessary to submit such content and that it does not infringe any third-party right.

7.2You must not submit AI-generated or synthetic content that is deceptive, that misrepresents real persons, places, or events, that constitutes a deepfake or impersonation, or that is presented as authentic where it is not, in each case where doing so is misleading or unlawful. Onyatrips may label, restrict, or remove synthetic content and may require disclosure of its nature.

8. Moderation Rights

8.1Onyatrips may, but is not obliged to, monitor, review, screen, filter, moderate, or edit User Content, by automated or human means. Onyatrips does not pre-screen all User Content, and the absence of moderation in any instance is not a breach and does not constitute endorsement.

8.2Onyatrips has sole discretion to determine whether User Content violates these Terms, and may act on that determination without being required to prove a violation. Moderation decisions are made in Onyatrips' reasonable discretion and Onyatrips is not liable for any moderation action or inaction, save to the extent liability cannot be excluded under Applicable Law.

9. Removal and Deletion Rights

9.1Onyatrips may remove, disable, restrict, hide, de-rank, or delete any User Content at any time, with or without notice and with or without reason, including where it reasonably believes the content violates these Terms or Applicable Law, is the subject of a complaint, or exposes Onyatrips or any person to risk or liability.

9.2Removal or deletion of User Content does not relieve you of responsibility for it and does not constitute an admission by Onyatrips. Onyatrips is not liable to you for the removal, deletion, loss, or unavailability of any User Content.

10. Suspension and Account Termination

10.1Onyatrips may, in its sole discretion, warn, restrict, throttle, temporarily suspend, permanently suspend, or terminate the account of, and revoke access for, any User who breaches these Terms, submits Prohibited Content, is a repeat infringer, or whose conduct Onyatrips reasonably considers harmful, unlawful, or a risk to the Website or its users, with or without prior notice.

10.2On suspension or termination, your right to access the Website and your User Content may cease, and Onyatrips may remove or retain your User Content in accordance with these Terms and Applicable Law. Suspension or termination does not entitle you to any refund, compensation, or the return of any User Content, save as required by Applicable Law.

10.3Onyatrips may decline to provide the Services to any person and may take steps to prevent a terminated User from creating a new account.

11. Evidence Preservation and Law-Enforcement Cooperation

11.1Onyatrips may preserve, retain, and store User Content, account information, logs, and related records where it reasonably believes preservation is necessary or appropriate to comply with Applicable Law, to respond to legal process, to enforce these Terms, to investigate potential violations, or to protect the rights, property, or safety of Onyatrips, its users, or the public.

11.2Onyatrips may access, preserve, and disclose User Content, account information, and related records to law-enforcement, regulatory, judicial, or governmental authorities, and to affected third parties, where required or permitted by Applicable Law or valid legal process, or where it reasonably believes disclosure is necessary to prevent harm, fraud, or illegality. You consent to such preservation and disclosure and waive any claim against Onyatrips arising from it, to the extent permitted by Applicable Law.

11.3Onyatrips will handle personal data contained in User Content in accordance with its Privacy Policy and Applicable Law, including the Digital Personal Data Protection Act, 2023.

12. Indemnity and Liability

12.1You agree to indemnify and hold harmless Onyatrips, its directors, officers, employees, and agents from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with your User Content, your breach of this Module or any representation or warranty in it, or your violation of Applicable Law or the rights of any person.

12.2To the fullest extent permitted by Applicable Law, Onyatrips is not liable for any User Content or for any loss arising from User Content submitted by you or any other User, or from any moderation, removal, retention, or disclosure of User Content.

12.3Nothing in this Module excludes or limits any liability that cannot lawfully be excluded under Applicable Law, including liability for fraud, for death or personal injury caused by the Company's own gross negligence, or any non-excludable statutory rights of a consumer.

3.3The distinctive expressions used by the Company, including "Decision Layer for Travel" and the "Travel Critic" model, together with the brand voice and creative expression associated with them, are proprietary to the Company. Nothing herein prevents the fair, descriptive, or nominative use of ordinary words in their ordinary sense.

4. Copyright in Content, Works, and Software

4.1All Content and Works and all Software are original works protected by copyright and other laws and are owned by the Company or its licensors. 5. Trade Secrets and Proprietary Systems

5.1The Proprietary Systems and Confidential Information constitute the Company's valuable trade secrets, developed at significant expense, and derive independent economic value from not being generally known. You acknowledge their confidential and proprietary nature.

5.2You must not access, use, disclose, copy, extract, derive, infer, reconstruct, or attempt to discover any part of the Proprietary Systems or Confidential Information, including the Evaluation Framework, scoring and ranking logic, weightings, algorithms, matching logic, datasets, taxonomy, prompt libraries, or AI workflows, except as expressly authorised in writing by the Company.

9.2You must not file, or assist any person in filing, any application for a patent, trademark, design, or other right that incorporates, is derived from, or is confusingly similar to any Onyatrips IP, or that would interfere with the Company's rights.

10. Feedback

10.1If you provide the Company with any feedback, suggestion, idea, or proposal relating to the Website, Services, or Onyatrips IP, you assign to the Company all right, title, and interest in such feedback, and the Company may use it for any purpose without restriction, attribution, or compensation to you.

11. Enforcement and Remedies

11.1You acknowledge that any breach of this Module may cause the Company irreparable harm for which monetary damages would be inadequate, and that the Company is entitled to seek injunctive and other equitable relief, in addition to any other remedy, without the need to post security or prove actual damages, to the extent permitted by Applicable Law.

11.2The Company may take technical measures to detect, prevent, and block unauthorised access, scraping, crawling, and extraction, and may suspend or terminate access, revoke API access, and pursue civil and criminal remedies, including under the Copyright Act, 1957, the Trade Marks Act, 1999, the Information Technology Act, 2000, and the law of confidence and contract.

11.3You agree to indemnify and hold the Company harmless from any loss, damage, cost, or expense (including reasonable legal fees) arising from your breach of this Module or infringement or misappropriation of any Onyatrips IP.

Data Handling Terms

Contractual terms governing data, referencing the Onyatrips Privacy Policy

## Definitions and Relationship to the Privacy Policy

1.1"Personal Data", "processing", "consent", "data principal / data subject", and "sensitive personal data" have the meanings given under Applicable Law, including the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 and rules thereunder.

1.2"Privacy Policy" means the Onyatrips Privacy Policy published on the Website, as amended from time to time, which is incorporated into these Terms by reference and which sets out the detailed particulars of the Company's data practices.

1.3This Module operates alongside the Privacy Policy. It creates contractual acknowledgements, authorisations, and obligations relating to data. It does not describe collection practices in detail; those are set out in the Privacy Policy.

2. Consent and Lawful Basis

2.1You acknowledge that the Company processes Personal Data in accordance with the Privacy Policy and Applicable Law, on the lawful bases described in the Privacy Policy, which may include your consent, the performance of these Terms, the Company's legitimate uses permitted by law, and compliance with legal obligations.

2.2Where processing relies on consent, such consent is obtained through the Privacy Policy and applicable consent notices, and is free, specific, informed, and capable of being withdrawn. Your acceptance of these Terms is not, by itself, treated as consent to any processing for which Applicable Law requires separate, specific consent; such consent is sought separately.

2.3You may exercise your data-protection rights, including withdrawal of consent, as described in the Privacy Policy. Withdrawal of consent may limit or prevent your use of features that depend on the relevant processing, and does not affect the lawfulness of processing before withdrawal.

3. Accounts and Profiles

3.1To create an account or profile, you must provide accurate and lawful information, and you authorise the Company to process account and profile data to provide, secure, and operate the Services, as described in the Privacy Policy.

3.2You are responsible for the confidentiality of your credentials and for all activity under your account, and for ensuring that any Personal Data of third parties you provide has been provided lawfully and with any necessary consent.

4. Cookies, Analytics, and Behavioural Analytics

4.1The Company and its service providers use cookies and similar technologies for analytics, measurement, personalisation, and behavioural analytics, as described in the Privacy Policy and any cookie notice. You may manage cookie preferences as described there and in your browser or device settings, subject to the essential cookies required to operate the Website.

4.2You acknowledge that the Company may analyse usage, interaction, and behavioural data to understand, secure, and improve the Website and Services, in accordance with the Privacy Policy and Applicable Law.

5. Location Data

5.1Certain features may use location data, which is processed as described in the Privacy Policy and, where required, with your consent or with device-level permission that you may enable or disable. Disabling location may limit location-dependent features.

6. Travel Preferences

6.1You authorise the Company to process the travel preferences and related information you provide or that are inferred from your use, to deliver discovery, curation, matching, and planning features, as described in the Privacy Policy.

7. Photos and Uploaded Media

7.1Where you upload photos or other media, you authorise the Company to process them to provide the Services, as described in the Privacy Policy and subject to the licence and content terms in the User-Generated Content Module. You warrant that you have any necessary rights and consents, including of persons depicted.

8. Chats and Communications

8.1The Company may process chats and communications data to deliver messaging features, to provide safety, moderation, and fraud-prevention functions, and to comply with Applicable Law, as described in the Privacy Policy. You should not share sensitive personal or financial information through chat.

9. Metadata

9.1You acknowledge that content and interactions may carry metadata (such as device, technical, and log data, and data embedded in uploaded files), which the Company may process for operation, security, analytics, and legal-compliance purposes as described in the Privacy Policy. You are responsible for removing any metadata you do not wish to share from files you upload.

10. AI Processing, Recommendation Engine, and Machine Learning

10.1You acknowledge that the Company uses automated processing — today, deterministic rule-based curation, scoring, and matching systems, not machine learning or predictive AI (see the Responsible AI Policy for the current, accurate description of what AI, if any, is in use, which controls over any AI-related language elsewhere in these Terms) — to operate and improve the Services, and reserves the right to introduce AI or machine-learning-based processing in the future. Such processing may involve data you provide or that is generated through your use, in each case as described in the Privacy Policy and subject to Applicable Law.

10.2Where processing produces automated decisions or profiling that have a significant effect, the Company will provide the safeguards, information, and rights required by Applicable Law, as described in the Privacy Policy. Any use of Personal Data to train or improve models is carried out only on the basis, and with any consent, required by Applicable Law.

11. Fraud Detection and Security

11.1You acknowledge and authorise the Company to process data for fraud detection, prevention of abuse, safety, trust, and security purposes, including detecting fake profiles, scams, and prohibited conduct, as described in the Privacy Policy and permitted by Applicable Law. This processing may continue where necessary to protect the Company, its users, or the public.

12. Advertising and Marketing

12.1The Company may send you service communications relating to your account and use of the Website. Where the Company sends marketing communications or engages in advertising personalisation, it does so in accordance with the Privacy Policy and Applicable Law, and, where required, only with your consent, which you may withdraw at any time using the opt-out mechanisms described in the Privacy Policy.

12.2You acknowledge the Company's stated position, as set out in the Privacy Policy, regarding whether and how third-party advertising is or is not conducted on the Website; this Module does not itself authorise any advertising practice beyond what the Privacy Policy describes.

13. Cross-Device Tracking

13.1Where the Company or its providers use cross-device recognition or tracking to provide a consistent experience or for measurement, such processing is described in the Privacy Policy and is carried out with any consent required by Applicable Law. You may exercise available controls as described in the Privacy Policy.

14. Third-Party Integrations

14.1The Website may use third-party integrations, service providers, and processors (including analytics, payment, mapping, communication, and infrastructure providers). Such parties process data on the Company's behalf under appropriate arrangements, or as independent controllers under their own terms, as described in the Privacy Policy. The Company is not responsible for the independent practices of third parties acting as their own controllers, and your use of a third-party service may be subject to that third party's terms and privacy policy.

15. Sensitive Data

15.1The Company does not require you to provide sensitive personal data except where necessary for a specific feature and permitted by Applicable Law. Where the Company processes sensitive personal data, it does so only on the basis, and with any explicit consent, required by Applicable Law, as described in the Privacy Policy.

15.2You should not submit sensitive personal data other than where specifically requested. Any sensitive personal data you voluntarily include in profiles, content, or communications is provided at your discretion, and you consent to its processing to the extent necessary to provide the relevant feature.

16. Biometric Data (Future)

16.1The Company does not currently require biometric data. If, in future, the Company introduces any feature involving biometric data (for example, identity verification), it will process such data only with your separate, explicit, and informed consent, subject to enhanced safeguards, and in accordance with the Privacy Policy and Applicable Law. No provision of this Module authorises the processing of biometric data absent such separate consent and disclosure.

17. Children

17.1The Website is intended for users aged eighteen (18) and above and is not directed to children. The Company does not knowingly collect Personal Data from children. Where Applicable Law requires verifiable parental or guardian consent for any person below the applicable age, the Company will act in accordance with that requirement and the Privacy Policy.

17.2If the Company becomes aware that it has collected Personal Data from a person not permitted to use the Website, it will take steps to delete such data as required by Applicable Law. The Company does not undertake behavioural monitoring or targeted advertising directed at children.

18. Data Deletion and Account Deletion

18.1You may request data deletion or account deletion as described in the Privacy Policy. On a valid request, the Company will delete or de-identify Personal Data in accordance with the Privacy Policy and Applicable Law, subject to the retention exceptions in Clause 19.

18.2Account deletion may be irreversible and may result in loss of access to content and features. Certain data may be retained where permitted or required as set out in Clause 19.

19. Retention

19.1The Company retains Personal Data only for as long as necessary for the purposes described in the Privacy Policy, or for longer where retention is required or permitted by Applicable Law, including for legal compliance, dispute resolution, fraud prevention, security, and the establishment, exercise, or defence of legal claims. Retention periods and criteria are set out in the Privacy Policy.

20. International Transfers

20.1The Company may process and store data in, and transfer data to, jurisdictions other than your own, including through cloud and service providers. Any such international transfer is carried out in accordance with Applicable Law and the safeguards described in the Privacy Policy. By using the Website, you acknowledge that your data may be processed in other jurisdictions, subject to those safeguards.

21. Government Requests and Legal Compliance

21.1The Company may access, preserve, and disclose data in response to government requests, court orders, or other valid legal process, and where it reasonably believes disclosure is necessary to comply with legal compliance obligations, to enforce these Terms, to detect or prevent fraud or harm, or to protect the rights, safety, or property of the Company, its users, or the public, in each case as permitted by Applicable Law and as described in the Privacy Policy.

21.2The Company processes data in compliance with Applicable Law, including the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 and rules thereunder, and cooperates with competent authorities as required by law.

Limitation of Liability & Disclaimer of Warranties

1. Interpretation

1.1In this Module, "Onyatrips Parties" means the Company, its holding, subsidiary, and affiliated entities, and its and their respective directors, officers, employees, contractors, agents, licensors, and service providers. "Losses" means any and all claims, liabilities, damages, losses, injuries, costs, and expenses of any kind. Terms defined in the Website Terms & Conditions or in any other Module apply here.

1.2This Module applies to all Losses arising out of or in connection with the Website, the Services, any Content, any Module, and any act or omission of the Onyatrips Parties, whether the claim is framed in contract, tort (including negligence), statute, restitution, or otherwise.

2. Disclaimer of Warranties

2.1The Website, the Services, and all Content are provided on an "as is" and "as available" basis, with all faults and without warranty of any kind. To the fullest extent permitted by Applicable Law, the Onyatrips Parties disclaim all warranties, conditions, representations, and terms, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, and non-infringement.

2.2Without limitation, the Onyatrips Parties do not warrant or guarantee that: (a) the Website or Services will be uninterrupted, timely, secure, or error-free; (b) any defect will be corrected; (c) the Website or its servers are free of viruses or harmful components; (d) any Content, recommendation, score, ranking, listing, or information is accurate, complete, reliable, current, or fit for any purpose; or (e) any result will be obtained from use of the Website.

2.3No uninterrupted service. You acknowledge that access to the Website may be suspended, restricted, delayed, or unavailable at any time, including for maintenance, updates, technical failure, or reasons beyond the Company's control, and that the Company is not liable for any such unavailability.

2.4Any advice or information, whether oral or written, obtained from the Company or through the Website does not create any warranty not expressly stated in these Terms.

3. Beta Features and Experimental AI

3.1The Company may make available beta, preview, trial, or experimental features, and experimental artificial-intelligence and machine-learning functionality (including recommendation, scoring, curation, matching, and generative features). Such features are provided for evaluation on an "as is" and "as available" basis, may be incomplete, unstable, or inaccurate, may produce erroneous, unexpected, biased, or misleading outputs, and may be modified or withdrawn at any time.

3.2You use beta features and experimental AI at your own risk and must not rely on their outputs. To the fullest extent permitted by Applicable Law, the Onyatrips Parties have no liability arising from beta features or experimental AI, and all disclaimers and limitations in this Module apply to them with full force.

4. Assumption of Risk and No Liability for Specified Harms

4.1You acknowledge that travel and the use of a discovery and companion platform involve inherent risks, that the Onyatrips Parties do not own, operate, control, or supervise any destination, supplier, place, or other user, and that they cannot prevent or protect you from the acts, omissions, or conditions of third parties or from events beyond their control. You knowingly assume all such risks.

4.2To the fullest extent permitted by Applicable Law, the Onyatrips Parties are not liable for any Losses arising out of or in connection with, or in the nature of:

  • (a)personal injury, death, or medical emergencies;
  • (b)travel accidents, food poisoning, illness, or physical harm;
  • (c)crime, kidnapping, harassment, assault, violence, or other harmful conduct of any person;
  • (d)visa issues, immigration, entry refusal, or travel-documentation problems;
  • (e)lost luggage, flight delays, missed connections, overbookings, or transport disruption;
  • (f)political unrest, war, terrorism, civil disturbance, or government action;
  • (g)weather, natural disasters, epidemics, pandemics, or acts of God;
  • (h)fraud, cyberattacks, identity theft, data breach caused by third parties, scams, or extortion; and
  • (i)financial losses arising from any of the foregoing or from any transaction, arrangement, or reliance undertaken by you.

4.3The harms in Clause 4.2 are, in substance, caused by third parties, other users, suppliers, or external events, and not by the Company. Your recourse in respect of such harms lies against the responsible party, not the Onyatrips Parties. This Clause does not purport to exclude liability for harm actually and directly caused by the Company's own conduct to the extent such exclusion is not permitted by Applicable Law (see Clause 8).

5. Exclusion of Certain Damages

5.1To the fullest extent permitted by Applicable Law, in no event will the Onyatrips Parties be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, opportunity, data, or enjoyment, in each case however arising, whether or not foreseeable, and whether in contract, tort (including negligence), statute, or otherwise, even if the Company has been advised of the possibility of such damages.

5.2Indirect damages, consequential damages, lost profits, and punitive damages are excluded independently of, and in addition to, the limitations in Clause 6, and the invalidity of any one exclusion does not affect the others.

6. Maximum Aggregate Liability Cap

6.1To the fullest extent permitted by Applicable Law, the total aggregate liability of the Onyatrips Parties to you for all Losses arising out of or in connection with the Website, the Services, the Content, and these Terms (including all Modules), whether in contract, tort, statute, or otherwise, shall not exceed the greater of: (a) the total amount of fees actually paid by you to and retained by the Company (as distinct from amounts collected on behalf of a supplier or payment provider) in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) Indian Rupees five thousand (INR 5,000).

6.2This cap is an aggregate cap across all claims and all Modules, and not a per-claim cap. Multiple claims do not enlarge it. Where a Module specifies its own cap for a particular matter, the lower applicable cap governs that matter, and this Clause governs overall aggregate liability.

6.3The Company has set its prices and made the Website available in reliance on the warranty disclaimers, damage exclusions, and liability cap in this Module, which form an essential basis of the bargain between you and the Company and reflect a reasonable allocation of risk. These limitations apply even if any remedy fails of its essential purpose.

7. Time Limit for Claims

7.1To the extent permitted by Applicable Law, any claim arising out of or in connection with the Website, the Services, or these Terms must be brought within the shortest period permitted by Applicable Law, and in any event you agree not to bring any such claim more than the limitation period prescribed by the Limitation Act, 1963 after the cause of action arises, failing which the claim is permanently barred to the extent the law allows.

8. Rights and Liabilities That Cannot Be Excluded

8.1Nothing in these Terms or this Module excludes, restricts, or modifies any liability, right, guarantee, or remedy that cannot lawfully be excluded, restricted, or modified under Applicable Law. In particular, nothing excludes or limits liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by the Company's own negligence or that of its employees acting in the course of employment, to the extent such liability cannot be excluded under Applicable Law; (c) any liability under mandatory provisions of consumer-protection law; or (d) any other liability that cannot be excluded under Applicable Law.

8.2Where Applicable Law does not permit the exclusion or limitation of certain warranties or liabilities, the exclusions and limitations in this Module apply to the maximum extent permitted by that law, and the Company's liability is limited to the minimum extent permitted. The remaining provisions of this Module continue in full force notwithstanding the invalidity of any part.
